Crimson Trace

(Wilsonville, OR)—Looking for a great way to spend time with dad on Father’s Day? Crimson Trace suggests skipping the necktie gift this June 18th and making dad very happy by taking him shooting. Whether safely plinking in a farm field or shooting at a local gun range, dad and the family can practice their skills while spending quality time together. Everyone can make that practice session more exciting—and beneficial—with a Crimson Trace® laser sight installed on dad’s favorite firearm.

While there are many makes and models of handguns and firearms that dad could own and shoot on his special day, there are more than 275 Crimson Trace laser sights and lights designed to fit thousands of firearm models. Dad will have plenty of choices: Does he want a green or red Crimson Trace laser sight? Does he want that laser sight secured on a Picatinny rail, installed over the pistol’s trigger guard, or secured to the firearm as a replacement grip? Does he want his Crimson Trace laser sight pre-installed by the firearm manufacturer or does he want to install the laser sights himself? If dad owns a popular 1911 handgun, or a Smith & Wesson M&P® 45 Shield, there are numerous laser sight models for those popular handguns.

Crimson Trace products offer fathers and all firearm owners across America several advantages. By using Crimson Trace’s patented Instinctive Activation firearm laser activation technology, most models are instantly activated when the firearm is gripped. A laser sighting system on a firearm will also help dad or any owner easily determine any problems with firearm control or operation—and help with correcting those problems. Seeing a laser downrange also adds to the excitement of the shooting session. With laser sight prices beginning at $159, the price tags will fit the wallet of most dads—and gift buyers.

Your dad could be the important person who introduced you to shooting and firearms. Taking him shooting this Father’s Day is a great way to return the favor—or pass it back! Dad can also rest easy in knowing that his Crimson Trace laser sight is backed 24/7 by a professional customer service department.

Crimson Trace Founder and Industry Icon Announces Retirement

    Monday, September 26th, 2016

(Wilsonville, OR)— Nearly everyone who owns a firearm has heard of Crimson Trace®, the shooting sports industry leader in laser sight design and manufacturing. Many of those firearm owners have also heard of the man behind the iconic company and brand –Crimson Trace’s Founder Lew Danielson. After more than two decades as a leader in the company and the industry, Danielson has announced his retirement.

“I am very proud of what Crimson Trace has become and what we have accomplished in the laser sighting industry with the many innovations we’ve introduced to the market place,” said Danielson. “I’m also proud of the team of employees who have worked hard to make our company the industry leader that it is today.”

Danielson, a trained engineer, co-founded Crimson Trace in the backroom of an Oregon machine shop in 1994. Many news features, magazine articles and television shows have reported on Danielson’s simple 18-point business plan—handwritten on a piece of standard yellow notepad paper—for the fledgling company.

“Lew is a one-of-a-kind guy who believed in an idea and had the tenacity and foresight to take risks and follow his dream,” stated Lane Tobiassen, President of Crimson Trace. “Everyone at Crimson Trace wishes Lew well in this new chapter of his life, and we thank him for the opportunity the company has provided the more than 120 employees who work here.” Tobiassen became Crimson Trace’s President in 2009.

Among Danielson’s many recognitions and awards is receiving the National Rifle Association’s prestigious Golden Bullseye Pioneer Award. That award noted that Danielson was “fundamentally responsible for the invention, development, marketing and/or promotion of products that gained widespread use and which fundamentally changed some aspect of shooting sports equipment or related products for the better.” Those words referenced Danielson’s establishment of America’s premium brand of laser sighting systems for firearms—Crimson Trace.

The company is widely recognized for bringing more than 250 laser sighting products to market, including the new LiNQ® wireless light and laser sight for modern sporting rifles. Crimson Trace is also widely recognized for supplying sighting systems to military and law enforcement units in America and around the globe.

    ?
The first Crimson Trace® laser sights were designed for GLOCK®* handguns. A customer would send their pistol to Oregon for machining and installation of the laser sight. Today, Crimson Trace offers more than a half dozen distinct product lines. The company offers products to consumers directly, through numerous retailers, and it works with more than a dozen firearms manufacturers to provide laser sights as pre-installed systems direct from those manufacturers.

Danielson was inducted into the Oregon State University Engineering Hall of Fame in 2013. His name is on many of the patents held in Crimson Trace’s product portfolio.

Crimson Trace has long been a key supplier of laser sighting systems for Smith & Wesson. For more than two decades, Crimson Trace has provided consumers, military units, and law enforcement officers around the globe with the world’s largest selection of award-winning laser sight and tactical light products. Crimson Trace offers more than 225 products and is widely recognized as the world’s leading brand of laser sights for firearms. Its award-winning innovations include the Lasergrips®, Laserguard®, and Rail Master® platforms. The company’s product line also includes the Defender Series®, Lightguard®, and its new LiNQ™ wireless activation system. Based in Wilsonville, Oregon, Crimson Trace operates from a 50,000 square foot , leased facility where it engineers and manufactures its products.

Crimson Trace was founded 22 years ago and has organically generated a ten year compound annual revenue growth rate in excess of 10%. The company maintains a product development team that has an established track record of launching high-quality, innovative laser sighting products. As a result, its products maintain a premium position with hundreds of independent retailers as well as large sporting goods retailers, including Cabela’s, MidwayUSA, Nation’s Best Sports, and internet retailer Optics Planet, Inc.

James Debney, Smith & Wesson President and Chief Executive Officer, said, “Crimson Trace provides us with an exceptional opportunity to acquire a thriving company that is completely aligned with our strategy to become a leader in the market for shooting, hunting, and rugged outdoor enthusiasts. As the undisputed leader in the market for laser sighting products, Crimson Trace serves as an ideal platform for our new Electro-Optics Division. Firearms purchasers frequently buy electro-optic accessories to enhance the capabilities and performance of their firearms. The growth that Crimson Trace has delivered is a testament to the high product quality and the robust product development capability that Lane Tobiassen, President and Chief Executive Officer of Crimson Trace, and his team have established. That capability, combined with Crimson Trace’s leadership position in the market for laser sights, provides a solid framework for organic and inorganic growth.”

Lane Tobiassen, who joined Crimson Trace in 2005, will serve as President of the new Electro-Optics Division of Smith & Wesson, and will report directly to Debney. The Crimson Trace management team and workforce, as well as its base of operations, will remain in Wilsonville, Oregon after the acquisition.

Tobiassen said, “It is a great honor to lead Crimson Trace into this exciting new chapter in our history by joining the Smith & Wesson team. Since 1994, we have designed and brought to market more than 225 products, all of which reflect the passion, dedication, and spirit of innovation of our design engineers, production workforce, customer service representatives, and marketing and sales professionals. As the new Electro-Optics Division of Smith & Wesson, we believe that our capabilities, combined with inorganic opportunities to acquire related technologies, will expand the reach of our existing market footprint. This makes us a great fit for Smith & Wesson, a legendary company with an iconic brand, world-class products, and markets that include consumer, law enforcement, and international channels. We look forward to offering consumers exceptional performance from two of the industry’s most trusted names.”

Smith & Wesson will purchase all of the outstanding stock of Crimson Trace for $95.0 million, using existing cash balances. Crimson Trace is being acquired from Crimson Trace Holdings, LLC, which is owned by private equity firms Peninsula Capital Partners, LLC and VergePointe Capital, LLC; Lewis Danielson, the founder and Chairman of the Board of Crimson Trace; a small group of minority members; and certain members of management.

Jeffrey D. Buchanan, Executive Vice President and Chief Financial Officer of Smith & Wesson, stated, “As a result of our strong balance sheet, we intend to complete the purchase of Crimson Trace with cash on hand and we expect the transaction to close in three to six weeks. After the closing date, we expect the acquisition to be accretive to Smith & Wesson’s earnings per share in fiscal 2017. Due to its anticipated timing, the transaction is expected to have no impact on Smith & Wesson’s operational and financial results for the fiscal 2017 first quarter ending July 31, 2016. As of the date of signing, Crimson Trace’s trailing 12 month revenue was approximately $44.0 million, of which approximately 25% was revenue from Smith & Wesson and would be excluded from our consolidated revenue. The purchase price represents an estimated multiple of approximately 5.9x the trailing 12 month adjusted EBITDAS of Crimson Trace. We look forward to providing additional details following the close of the transaction.”
