Annika Andersson to be proposed as new Chairman of the Board of INVISIO Communications AB

The Nomination Committee of INVISIO Communications AB intends to propose to the Annual General Meeting in May 2019 the election of Annika Andersson to succeed current Chairman of the Board Lars Röckert, who has declined re-election. Annika Andersson has been a member of the Board of Directors of INVISIO since 2014.

INVISIO’s Chairman Lars Röckert has informed the Nomination Committee that he declines re-election. Lars Röckert has been a member of INVISIO’s Board since 2010 and Chairman since 2011.

“During my nine years at INVISIO, the company has undergone radical improvements in market leadership, sales and results. It fits well in my own planning to hand over to new stewardship,” commented Lars Röckert.

To be able to work effectively, the Nomination Committee has decided to present the nomination for Chairman of the Board it intends to propose in connection with the Annual General Meeting on May 2, 2019.

“The Chairman of the Board plays a key role in how the Board will be formed and the candidates that will show interest in the company. To enable effective discussions with both current and future members of the Board, already at this early stage we want to be open with the person that the Nomination Committee intends to propose as Chairman of the Board,” says Lilian Fossum Biner, Chairman of the Nomination Committee, representing Handelsbanken Fonder. We believe Annika Andersson will be an excellent new Chairman of INVISIO. She has been an active member of the Board for almost four years and is well acquainted with the company’s organization, products and markets.

The Nomination Committee intends to propose Annika Andersson to succeed current Chairman Lars Röckert. Annika Andersson has been a member of INVISIO’s Board since 2014. Annika Andersson holds an M.Sc Econ. from the Stockholm School of Economics and has long experience of the financial industry, where she worked with portfolio management, corporate governance, information and sustainability. Annika is a board member of INVISIO, Clavister Holding, Jetty, Karolinska Institutet Holding and Chairman of Karolinska Institutet Innovations.

The Nomination Committee’s full proposal for the Board will be presented in connection with the notice to attend the AGM.

Jury Awards Adcor Defense, Inc $20 Million in Suit Against Beretta, USA, Inc

We are pleased to announce that a Baltimore County jury today rendered a 20 million dollar verdict in a commercial litigation matter, Adcor Defense, Inc. v Beretta, USA, Inc.  The matter in dispute was the defendant’s willful misappropriation of Adcor’s cutting edge design of a modern AR-15 rifle.  Adcor is a local Baltimore City aerospace manufacturing company.  In 2008, Adcor undertook the redesign of the common AR-15 rifle in an effort to better improve the weapon to benefit our troops overseas.  Beretta USA engaged Adcor with a promise to co-develop Adcor’s outstanding developments in the AR-15.  Beretta, USA, is a subsidiary of Beretta Holdings, the oldest and one of largest and most successful firearms manufacturers in the world.  Beretta signed a Non-Disclosure Agreement promising to keep all of Adcor’s information confidential and not to keep, use or disseminate it.  At trial, it was proven that Beretta intentionally schemed to misappropriate all of Adcor’s innovative technology and never intended to abide by the Non-Disclosure Agreement.  The Jury found that Beretta willfully violated the Non-Disclosure Agreement and took and used Adcor’s innovative technology for its own benefit and for the benefit of its sister companies.  The case was tried by Briggs Bedigian, Jon Stefanuca and Lauren Bell of Gilman and Bedigian, LLC, a local law firm located in Timonium, as well as Thomas Donnelly and Kristin Tracy of The Law Offices of Thomas Donnelly, LLC, located in Baltimore City.    Beretta, USA, was represented by attorneys from the national law firm of Bradley Arant Boult Cummings, LLP, led by T. Sky Woodward of the Washington, DC office.

Jeff Powers Joins SIG SAUER as Vice President, Assembly Operations & Continuous Improvement

Newington, N.H. (December 12, 2018) – SIG SAUER, Inc. is pleased to announce Jeff Powers has joined SIG SAUER as Vice President, Operations & Continuous Improvement. In this position Powers will work to streamline manufacturing operations and processes to increase productivity and oversee continuous improvement.

Powers comes to SIG SAUER from Watts Water Technologies where he led the LEAN transformation of their flagship facility. Additionally, Powers spent seventeen years at Thermo Fisher Scientific where he was a driving force in several major productivity and continuous improvement programs. He is black belt certified in the Six Sigma methods of individual processes, holds a Master’s Degree in Management and Leadership, and is certified in production inventory management and LEAN transformation.

“Jeff has hit the ground running since he joined the SIG SAUER organization and we are already seeing the positive effects of his leadership,” said Ron Goslin, Chief Operating Officer, SIG SAUER, Inc. “His experience and expertise are going to take our assembly and manufacturing operations to the next level as we continue to grow.”

Powers will lead continuous improvement efforts at the SIG SAUER manufacturing headquarters In Newington, New Hampshire and the machining operations in Dover, New Hampshire.

Chinese Conglomerate Mascot Bidco Oy Makes Offer To Purchase Arc’teryx, Salomon and Associated Brands

For quite awhile there has been speculation regarding a bid by Chinese corporation Mascot Bidco Oy to purchase Amer Sports Corporation based on Finland which owns Salomon, Arc’teryx, Peak Performance, Atomic, Mavic, Suunto, Wilson and Precor.

Today, Amer Sports issued a statement and supporting information regarding the 4.6 Billion Euro offer, which can be read at www.amersports.com/2018/12/mascot-bidco-oy-announces-a-voluntary-recommended-public-cash-tender-offer-for-all-the-shares-in-amer-sports-corporation. As it is so lengthy, and the forward looking information for this publicly traded company sensitive in several countries, that it’s best left to a link.

To be sure, the implications are significant to the brands in question, as well as the market as a whole. There is no additional information at this time but it’s important to remind readers that any purchase is subject to significant regulatory oversight and would be months away, if it does in fact, happen.
