Kirk Whatley Joins Samson Manufacturing Sales Team

Keene, NH — Samson Manufacturing’s sales team announces the addition of Kirk Whatley as Strategic Accounts Manager. An industry veteran, Kirk will be responsible for increasing Samson’s brand and product awareness with strategic distributors, retailers, and law enforcement markets.

Kirk has been involved in the shooting sports for over 40 years, and has been involved in two tier distribution and direct sales for over 35 years. Kirk is a frequent speaker at many pro-2nd Amendment functions and has been awarded The Second Amendment Foundation’s “Defender of Liberty” award. He is also an NRA certified instructor and Range Safety Officer.

A Statement From The Founder And Former Owner Of Shellback Tactical

I wanted to take this opportunity to let everyone know that after 15 years, I am no longer with Shellback Tactical. From starting and building the brand, creating demand, designing the products, leading it as the founder and being involved with it for 15 years of my life. It was an interesting journey with its roller coaster ups and downs. But it was also incredibly rewarding.

Building something out of nothing was extremely tough. From hoping that the products you make are bought and used by anyone. To seeing it worn, trusted and proven by military and law enforcement personnel around this great country and around the world. Wow, it’s what you hope and wish for. Some know that the company has been under new ownership/management when it was sold in 2017 to US Patriot. I stayed on for another 2 years as the Founder to help with it. It has been recently sold again. And I will not be continuing on with the company.

Most importantly I wanted to take this time to thank all of the customers over the years. Those who followed the brand, dealers, departments, units and the great people I met along the way. Thank You. I was incredibly lucky to serve and work with all of you. Without all of these pieces, it would have been nothing. And words cannot describe the gratitude I have for you.

Life is a gift and your time on this earth is short. Make it count. Although it may take longer, remember to always keep your character and integrity intact. And do your best to do what’s right, because its right, even when it’s not convenient.

I wanted to also put something out, because I have received several messages on other platforms wondering why I have not answered their emails. And now you know why. I am not leaving the Industry though. I will take some time to work on growing some projects and spend time with family.  I will also be looking for other new opportunities to be an asset at another great company. Maybe it’s yours.

Adams Arms LLC Announces Asset Sale

On Tuesday, April 30th, 2019, Adams Arms LLC’s assets were publicly auctioned at its facility in Pasco County, Florida, following maturity of its secured loans. The company’s senior secured creditors were the high bidder and are in the process of transferring these assets into a new company, Adams Arms Holdings, LLC (“AA Holdings”). Adams Arms, LLC, after the successful transfer of assets, will be closed.

It was announced and advertised at the beginning of April that Adams Arms LLC’s assets would be auctioned as a turn-key operation, including all tangible and intangible assets. AA Holdings will continue the Adams Arms brand. AA Holdings will fulfill all customer orders and honor all Adams Arms life-time product warranties.

Cubic Hires Three New Leaders for Defense Business

Cubic Global Defense to strengthen simulation and digital initiatives with update to business line  

SAN DIEGO – April 29, 2019 – Cubic Corporation (NYSE: CUB) today announced its Cubic Global Defense (CGD) business division appointed three new leaders to its executive team: Mark Schmaltz, vice president and general manager of synthetic/digital solutions; Michael Maughan, vice president of business development and strategy as well as Kenneth Lowe, vice president of financial operations and controller. All three executives will play key roles in Cubic’s transformation journey as it focuses on growth, digital product innovation and new recurring revenue streams.

Mission Ready Announces Close of Unifire Acquisition, Further details on Credit Facility and Final Acceptance of Private Placement

VANCOUVER, BRITISH COLUMBIA – April 23, 2019 – Mission Ready Solutions Inc. (“Mission Ready” or the “Company”) (TSXV: MRS) is pleased to announce that the Company has closed the acquisition (“Acquisition”) of Unifire, Inc. (“Unifire”) and a private placement, both following the receipt of final acceptance from the TSX Venture Exchange (the “Exchange”).
Acquisition of Unifire
Further to its February 12, 2019 news release, the Company received notice that the Exchange has accepted for filing the Agreement and Plan of Merger, pursuant to which a wholly-owned subsidiary of the Company has acquired all of the issued and outstanding capital stock of Unifire.
The consideration for the Acquisition includes:
The issuance of an aggregate of 26,315,790 common shares in the capital of the Company (“Shares”), which are subject to a four-month statutory hold period and escrow restrictions whereby the Shares will be released incrementally up to the final release date of January 1, 2022; and
Cash payments in the aggregate of USD$4,000,000, payable quarterly, with the final payment to be remitted on January 1, 2022. The cash consideration is subject to adjustment within seventy-five (75) calendar days after the closing date based on an unaudited balance sheet of the Company as of the effective time of closing of the Acquisition and the Company’s good faith determination of (i) the net working capital of the Company, to the extent that the net working capital of Unifire on the effective date of the Acquisition is greater or less than USD $1,856,798, and (ii) the amount of the sellers’ expenses as of the closing. The sellers have the opportunity to dispute such adjustments with thirty (30) days of receiving a closing statement from the Company. Any such adjustments, whether positive or negative, are on a dollar-for-dollar basis.
