Outdoor Research Named 2012 Washington Innovator of the Year

Outdoor Research, well-known manufacturer of outdoor apparel and accessories, was named earlier this week, Washington state 2012 Innovator of the Year in the large company category by a panel of seven judges assembled by Seattle Business Magazine.

The award, which will be featured in the May issue of Seattle Business, honors companies whose work results in growing or advancing the manufacturing sector in the state. Six winners were chosen in different categories at an awards ceremony Thursday night, April 26. Representatives of roughly 270 manufacturing companies located in the state attended the event.

The Innovator of the Year award recognized Outdoor Research’s commitment to operating a state-of-the-art apparel and accessories manufacturing operation just south of downtown Seattle that employs more than 160 people.

In choosing Outdoor Research for the award, judges noted that Outdoor Research has been growing its domestic manufacturing capability in recent years and hiring new manufacturing staff, the result of its success building gloves for the Special Operations Forces of the U.S. military; its work to improve the efficiency and quality of internal manufacturing processes; its strong product design and development capability; and the company’s overall management excellence, said Leslie Helm, editor of Seattle Business.

“There was strong consensus among the judges that this is a really well-managed company,” Helm said. Demand for high-end, specialized products like the Modular Glove System – built for the Special Operations Forces of the U.S. military – has resulted in 38 percent growth in manufacturing staff at Outdoor Research’s domestic manufacturing facility. The facility is located in the same building as the company’s headquarters in Seattle. Outdoor Research also uses the operation as a prototyping lab for its consumer outdoor product division, which allows it to build and test new outdoor products with very quick turnaround times.

“Innovation is crucial to the success of Washington state’s manufacturing economy,” said U.S. Senator Maria Cantwell (D-Wash.). “Outdoor Research is a great example of this American manufacturing success. I am particularly proud that America’s troops are safer because of new technologies coming from right here in the Northwest.”

In the nomination for the award, examples of innovation called out include the Outdoor Research’s ‘work smarter, not faster’ approach. OR developed a variety of sewing-machine modifications that save time and reduce the possibility for repetitive stress injuries among workers. The nomination called out the company’s efforts to develop and/or employ the most innovative equipment and processes. Among other distinctions, its domestic facility pioneered the equipment necessary to build seam-taped Gore-Tex gloves, working in concert with W.L. Gore & Associates. It is the only facility in North America with certification from Gore to build seam-taped gloves and mitts.

“Having domestic manufacturing located in the same building as our offices gives Outdoor Research a number of strategic advantages, and we’re excited that our success with domestic production has also meant we’ve been able to help create new jobs in our home state in recent years,” said Alex Kutches, President of Outdoor Research. “We’re very honored that the judging panel for Seattle Business recognized what we’ve been doing on the manufacturing side as worthy of this year’s Innovator of the Year Award.”

Kutches said that Seattle has a long history in high-quality garment manufacturing, and the skills of the staff who work in its manufacturing operation – many of whom have worked there for much of Outdoor Research’s 30-year history – has been key to the company’s success in designing and building high-quality products for military applications. On average, employees on the manufacturing side of the business have been with Outdoor Research for more than a decade.
“Having a top-notch facility is important, but the biggest thanks is due to the incredibly talented staff that conceptualize, design and produce our gear,” Kutches said. “We’re certainly proud that their work helps support the work that our troops do every day.”

Technologies and manufacturing capabilities offered by companies nominated in this year’s awards ranged from medical devices, bio-fuels and steel manufacturing to lasers and heavy machinery.

Cameron Grantham now Benchmade’s Int’l Manager

Cameron Grantham has been appointed to International Business Development Manager for Benchmade Knives. Formerly

the law enforcement and military sales manager, Mr. Grantham is a former law enforcement officer who held both patrol and tactical assignments with a large municipal police agency in the Pacific NW. Cameron’s primary focus will be on driving both international commercial sales as well as international law enforcement and military sales. Current international sales coordinator Likija Stjepanovic will continue in her role as an international sales coordinator.

Prior to joining the team at Benchmade Cameron worked and established an excellent reputation in the industry in the military and law enforcement/tactical divisions at Danner/LaCrosse Footwear and Leupold & Stevens Inc.

Doug Pettis, Director of Sales at Benchmade Knives, advises,   “We continue to see significant potential to grow Benchmade’s portfolio of brands on a global level and I am confident that Cameron will help us realize our full international growth potential.”

KC Eusebio Joins Team GLOCK

Army Marksmanship Unit Veteran KC Eusebio will join Tori Nonaka as a member of Team GLOCK, GLOCK’s competitive shooting team. Eusebio is a three-time World Speed Shooting Champion and will also serve as a training instructor at GLOCK, Inc. He grew up shooting and was introduced to the pastime by his father. By the age of 12 he was, and remains, the youngest competitor in the world to earn the ranking as a Grand Master class shooter. At 15, he became the youngest shooter to win a world championship at the prestigious World Speed Shooting Championships Steel Challenge. One of eight competitors ever to earn the USPSA Open National Title, Eusebio also boasts three Steel National Titles.

Boyt Harness teams up with SHE Outdoor Apparel

The Boyt Harness Company (which has been around since 1901) has just advised they’re joining up with SHE Outdoor Apparel. Boyt makes gun cases, outdoor apparel and related kit under the brands Boyt, Bob Allen, Mud River, Secure Vault and Rattlers. SHE Outdoor Apparel is a Texas-based company that produce women’s outdoor “camouflage, shooting and adventure” clothing.

Pacific Safety Products Inc Signs Letter of Intent for Proposed Reverse Take-Over Transaction With ArmorWorks Enterprises Canada, ULC

If you’ve followed Pacific Safety Products over the past few years, you know that they have had a couple of on-again, off-again arrangements with Revision, Sun Capital, and other unnamed companies to purchase all or part of their company.

Last week, PSP announced that it has entered into a Letter of Intent (“LOI”) dated April 17, 2012 with ArmorWorks Enterprises LLC (“AWE”) to acquire all of the issued and outstanding shares of ArmorWorks Enterprises Canada, ULC (“AW Canada”) in a reverse take-over transaction.

PSP has been working with ArmorWorks (AWE) since 2004. According to a PSP press release, “AW Canada was founded in 2009 as an indirectly owned subsidiary of AWE and is an unlimited liability company existing under the laws of British Columbia. AWE is a limited liability company existing under the laws of Arizona and is indirectly controlled by William J. Perciballi of Phoenix, Arizona. AWE is a leading provider of advanced survivability products to military and law enforcement agencies worldwide since 1996.”

The Canadian press estimates that the deal may well be worth $15 Million.

Ok, so PSP, who has had a rough time of it trying to get someone to buy them, is going to scrape together $15 Million (Canadian press estimate) to buyout AW Canada which posted a $2.1 Million loss last year. Ok, got that.

Now is the interesting part. In their own quarterly statement from earlier this year, PSP reported, “On January 23, 2012, the Company announced that it has entered into a letter of intent (“LOI”) to sell substantially all of its assets on a cash-free, debt-free basis (the “Sale Transaction”). During an exclusivity period, the potential purchaser is completing a due diligence review, and the parties are endeavoring to negotiate a mutually satisfactory definitive purchase agreement.

The completion of the proposed Sale Transaction is subject to a number of conditions, including completion of satisfactory due diligence, execution of the definitive purchase agreement, and TSX Venture Exchange and shareholder approval. There can be no assurance that the Sale Transaction will be completed as proposed or at all or, if completed, that the net proceeds of the Sale Transaction would represent a premium to the current trading price of the Company’s securities.

That was a completely different deal with Sun Capital Partners and it didn’t happen. Here are a couple of other tidbits.

In the proposed Revision deal of 2010, the stock was to be purchased at $.18 per share. Over the last year, the stock has seen a high of $.11 and a low of $.02 with it currently hovering around $.03 a share. Under this proposed deal, PSP is valuing their stock at a generous $.10 and plans to consolidate shares on a 10-to-1 basis, turning them into $1 shares.

Under the agreement, Perciballi who controls AWE and by extension AW Canada, is being bought out. Yet, he is getting a spot on the PSP board as well. Not shabby.

So you haven’t heard about all of this? It’s probably because the press release that outlines the deal was not supposed to be released to the United States. I guess they forgot that the Internet is global in nature.

All in all, it’s an interesting deal. Naturally, it’s all contingent on approval from the shareholders.
