AOC EW Europe 2017: ‘Advancing EW and Electromagnetic Operations Together’

Europe is one of the most vital areas in the world and the focus of much change in the area of electronic warfare (EW), but with change comes uncertainty. In terms of EW and electromagnetic (EM) operations, how can we make sense of all of these things?

The Association of Old Crows is once again teaming up with Clarion Events to create Europe’s premier electronic warfare event- the only event fully supported by the AOC in Europe. This partnership brings together world-class speakers in a conference programme shaped by industry experts.

AOC EW Europe will consider the future of EW and EM Operations in the changing light of current and emerging threats, including Hybrid Warfare and Anti Access/Area Denial (A2/AD) where potential opponents are out-performing the West. It will consider the possible responses, how thinking and attitudes must change, and examine the new capabilities that will be required across all lines of development, by all services, in all countries in the free world. The Conference will consist of plenary sessions and twin-tracks focusing on operations, defence capability development, and industry inventiveness.

AOC EW Europe will be held in perhaps the world’s most iconic city – London. It will consider the future of EW and EM Operations in the changing light of current and emerging threats, including Hybrid Warfare and Anti Access/Area Denial (A2/AD) where potential opponents are out-performing the West.

Speakers will include leaders and operators from the military, government, academia, S&T and R&D communities and, crucially industry. This is an unclassified truly-global EW networking, exhibition, workshop and conference and not to be missed.

The PLATH Intelligence Workshop will precede the EW Europe conference on 6 June 2017. For more information or to submit a paper, please visit www.eweurope.com

Please note that the closing date for the call for papers is 17 March, however we encourage you to submit papers as soon as possible as they will be considered as they are received.

Mission Ready Announces Purchase of Wild Things Business

Tuesday, February 21st, 2017

VANCOUVER, B.C. – February 21, 2017 – Mission Ready Services Inc. (“Mission Ready” or the “Company”) (TSX-V : MRS) is pleased to announce that the closing of the previously announced acquisition of the business and certain assets of Wild Things, LLC (the “Transaction”) is scheduled for February 24, 2017 valued at USD $4.5 million.

Pursuant to the Transaction, Mission Ready is acquiring the business of Wild Things, LLC and certain assets including inventories, manufacturing equipment, patents, material contracts, intellectual property, current outstanding purchase orders and the 2017 sales pipeline. This transaction is preceded by the closing of an agreement between a Japanese trading corporation (name withheld due to legal requirements) and Wild Things, LLC for the sale of certain Wild Things trademarks in Asia, including China and Japan and an exclusive trademark license and distribution agreement. The Wild Things heritage logo has been marketed in Japan under license for the past 20 plus years and these efforts will now be expanded.

Rod Reum, CEO & President of Mission Ready states, “We are very excited to be adding such a premium brand as Wild Things to our portfolio to complement our Protect The Force brand. We extend a warm welcome to the talented team at Wild Things. The merger of Wild Things with Mission Ready will allow both Wild Things and our PTF Manufacturing Inc. to significantly expand their reach into their current markets as well as have new markets opened up for each entity.”

“This is a huge deal for Wild Things”, said Ed Schmults, CEO of Wild Things. “To have a global powerhouse for a distribution partner in Asia is very significant for us as well as for some of the product lines of Protect The Force. All of us at Wild Things are thrilled to be working with Rod and the MRS team. These are two complementary businesses that mesh very well together. I think the timing is excellent for MRS and Wild Things to combine resources and take advantage of market opportunities. This sale allows us to significantly strengthen our balance sheet, return capital to shareholders and invest in the growth and development of our business”, said Schmults.

License and Distribution Agreement
Further to a November 2015 agreement providing exclusive import/distribution and master license rights for the Wild Things heritage brand in the Japanese market and precedent to Mission Ready’s purchase, Wild Things, LLC was in negotiations to sell certain trademark rights for Japan and several other Asian countries and has recently concluded that sale. Outside of these countries Wild Things retains ownership and all rights for the rest of the World subject to a right of first refusal by our Japanese trading partner. The distribution agreement gives us an established single trading partner in the fast growing Asian outdoor retail market.

Payment Terms
The cash portion of the Transaction price, is provided by a small allocation ($350,000) from the brand rights sale as previously mentioned and a $4.15MM loan from Wild Things, LLC secured by the assets of Wild Things USA, a wholly-owned subsidiary of Mission Ready formed to facilitate the Transaction. The company will work to replace the Wild Things, LLC loan over the next several months.

Congratulations to all involved.

Long-Time ADS Employee Promoted To CFO

Friday, February 17th, 2017

Dunn-Rai

John Dunn will now serve as the company’s Chief Financial Officer

Virginia Beach, Va. – Company officials announced the promotion of long-time employee, John Dunn, to the position of ADS Inc.’s Chief Financial Officer earlier this week.

Dunn began his career with ADS as Corporate Controller in 2010, before being promoted to Vice President of Finance in 2013. He helped lead the company’s financing efforts over the past seven years and frequently represented ADS at investor conferences and lender meetings.

“I am excited to engage in this new chapter with the company,” said Dunn. “ADS is an amazing organization and I am extremely honored to serve as its CFO.”

During his tenure with the company, Dunn has worked closely with key vendors and customers in a way that has contributed to ADS’ success and ensured the company maintains the highest standards in financial reporting.

“With the company’s recent refinance of its senior secured notes complete, ADS has the necessary capital and is well-positioned for continued growth,” said the company’s CEO, Jason Wallace. “John was a key part of that effort and I am confident he will continue to have a positive impact on ADS’ success as our CFO.”

ADS also announced this week that Karan Rai, the company’s current President and CFO, will be transitioning away from his involvement in the daily operations of ADS to focus fully on continuing his role as CEO of the company’s wholly-owned subsidiary, Theodore Wille Intertrade, GmbH.

“Karan has been instrumental in assisting the organization’s expansion into new markets and geographies globally with the acquisition of TWI,” said ADS Executive Chairman, Luke Hillier. “He guided the company through a critical capital markets refinancing and I look forward to his continued role in the growth of our new markets.”

In his role, Rai will be responsible for overseeing TWI, a global provider of integrated supply chain solutions to customers primarily operating in the United States European Command (EUCOM) and the United States Central Command (CENTCOM) regions.

“Over the past 12 months I was heavily focused on our capital markets refinancing process and ensuring post close success at TWI. During that time, Jason and John have been doing much of the heavy lifting in running ADS day to day,” Rai said. “The ADS platform continues to be in very capable hands with Jason and the rest of the management team and I look forward to taking on a more focused challenge of leading our growth platform at TWI.”

BE Meyers & Co, Inc Issues Statement In Support Of Chuck Pressburg

Thursday, February 16th, 2017

Recently, a news release came to light identifying one of our contracted employees and brand ambassador, Mr. Charles “Chuck” Pressburg of Presscheck Consulting, in an unfortunate firearms incident. The media coverage of this incident is vague and allows for misperception. In addition to this limited reporting by the press, malicious speculation online is fueling and in some way exacerbating many inaccuracies in the story.

This incident is by no means indicative of the performance or standards that we know Chuck to uphold, and in no way impacts his credentials as a Subject Matter Expert on the topic of low-light operations as well as night vision and laser combat employment. He represents our brand, and we support him as strongly today as we ever have.

While this was an obviously unfortunate incident involving our brand ambassador, the details of the situation will come out at a time and in a method that are legally appropriate. While it would not be appropriate for our brand ambassador to make a statement himself at this time, B.E. Meyers & Co. Inc. and industry entities cited in this message stand in his support to speak for him.

I encourage the community to take a pause, know that all the details cannot be currently released, and to question the narrative provided to them by the Oregon media that has spread to the national press level. Stop breaking out the Jump-to-Conclusions Mat, stop trying to fill in the blanks erroneously, and start letting the facts develop. Let the legal system work, and come to your own conclusions in due time.

I personally stand with Chuck.
B.E. Meyers & Co. Inc. stands with Chuck.
Those of character in this industry stand with Chuck.

We are ALL, all in for Chuck.

#ALLINFORCHUCK

Sincerely,

Matthew Meyers
