Leading Global Eyewear Manufacturer Bollé Safety Launches New Bollé Safety Standard Issue Tactical Eyewear Brand Featuring Eyewear from Jade Struck

Wednesday, December 1st, 2021

Bollé Safety, the world-renowned leading manufacturer of safety glasses and goggles, has announced the rebranding of its Bollé Tactical division to become Bollé Safety Standard Issue.  The new Bollé Safety Standard Issue features a range of products designed to offer unparalleled eye protection for tactical professions including law enforcement, first responders, firefighters, EMS, military and special forces, as well as shooting enthusiasts and hunters. The division’s mission is focused on the development of ballistic and protective eyewear while concentrating on improved comfort, style, and safety, giving tactical customers the competitive advantage they need to do their job in the safest way possible.

As part of the launch of this new brand, Bollé Safety Standard Issue has worked with Jade Struck, the competitive shooter, firearms instructor, model and actress, to create a pair of custom tactical glasses called The SENTINEL STRUCK. “As a firearms instructor, safety is my top priority, so I believe that all gear plays an important role, but I believe that eye protection is the most important,” said Struck. “A great pair of safety glasses shouldn’t just protect your eyes, but should also help you perform to the best of your abilities, so that’s what I’m hoping we’re bringing to the table with the SENTINEL STRUCK.” Certified to MIL-PRF-32432 A and ANSI Z87.1 safety standards to ensure maximum protection, these ballistic sunglasses are specifically tailored for the active woman who partakes in shooting, and other outdoor activities.

Like the SENTINEL STUCK sunglasses, each Bollé Safety Standard Issue product is a tailor-made solution that answers the specific needs of its wearers. The entire range of protective eyeglasses are crafted to be compliant with all major international safety standards worldwide.

“Our mission is to provide the best eye protection to those who need it and the people who protect us, beyond just the military field, so renaming the Bollé Tactical Division was evident,” explained Rubina Meunier, Vice President of Brand from Bollé Safety. “Bollé Safety Standard Issue is a more comprehensive name, with the ‘Standard Issue’ phrasing resonating globally and the new logo being catchy, bold, and a bit mysterious.”

Helen of Troy Agrees To Acquire Osprey Packs

Tuesday, November 30th, 2021

Helen of Troy Limited announced that one of its subsidiaries has entered into a definitive agreement to acquire Osprey Packs, Inc.

Founded in 1974, Osprey is among the largest maker of technical and everyday packs in the U.S. Its product lineup includes backpacks and daypacks for hiking, mountaineering, skiing, climbing, mountain biking, trail running, commuting, school, and adventure travel packs, wheeled luggage, and travel accessories. Helen of Troy said it believes the acquisition is an “important next step as it advances its strategic goal of acquiring and investing in businesses that can accelerate profitable growth in categories where it can add value and leverage its scalable shared services and operating platform.”

Helen of Troy also owns Hydro Flask in the outdoor space. Its other brands include OXO, Vicks, Braun, Honeywell, PUR, Hot Tools, and Drybar.

The total purchase consideration is expected to be approximately $414 million in cash, including an estimated $6 million favorable customary closing net working capital adjustment. The net purchase price implies a pre-synergy multiple of less than 13.5x estimated calendar year 2022 adjusted EBITDA, which compares favorably to Helen of Troy’s current EV/TTM adjusted EBITDA multiple of approximately 17.5x. It expects Osprey’s calendar year 2021 net sales revenue to be $155 million to $160 million.

The acquisition is expected to be accretive to Helen of Troy’s consolidated sales growth rate, gross profit margin, adjusted EBITDA margin, adjusted diluted EPS, adjusted diluted EPS growth rate, and cash flow from operations. As a result of the acquisition, it expects to end fiscal 2022 with a post-acquisition pro forma debt/adjusted EBITDA ratio approximately one-half to one full turn higher than its ratio as of August 31, 2021. As a result, the company believes it can “deploy capital to generate shareholder return.”

Julien R. Mininberg, Helen of Troy’s CEO, said, “We are delighted to welcome Osprey and its employees to the Helen of Troy family. For nearly half a century, Osprey’s premium products have delivered superior consumer-centric designs, innovative features and construction, outstanding materials and quality, and sustainability that resonate strongly with outdoor enthusiasts around the world. This acquisition adds an iconic ninth Leadership Brand that complements our world-class portfolio and adds critical mass to our value-creation flywheel. Combining the capabilities, authenticity, and credibility of this proven, highly respected outdoor pioneer with our global footprint and scalable global shared services creates opportunities for new efficiency and growth. Along with Hydro Flask, we can now serve and delight an even larger number of passionate end-users in the large and growing outdoor adventure category. We believe we are better together.”

Mininberg continued: “Approximately half of Osprey sales are outside the U.S., further accelerating our strategy to invest in international. We believe Osprey and Hydro Flask make a compelling combination in the U.S. and provide further critical mass internationally with thousands of additional retail doors that can benefit both brands and consumers. Osprey also further diversifies our international brand portfolio, and its focus on EMEA and the Asia Pacific matches our focus in those regions. On the design and operations side, Osprey’s design center and sourcing footprint in Vietnam offers an established platform to advance our product capabilities in soft goods and accelerates work already underway at Helen of Troy to further diversify our supply chain beyond China and Mexico.”

He added, “One of the many features that make Osprey special is its commitment to offer high-quality, low-impact products by utilizing sustainable design and manufacturing practices. Osprey incorporates low-impact chemicals and materials and recycled or recyclable packaging. It sources 100 percent renewable electricity and purchases carbon offsets for natural gas and company-owned vehicles used at its facilities in Colorado and Utah. This commitment extends to enhancing the well-being of their employees and communities through efficient building design at their Cortez, Colorado headquarters and contributing to environmental conservation. This business philosophy and practice is very much aligned with Helen of Troy’s ever-growing ESG ambitions.”

Mike Pfotenhauer, the founder of Osprey, said, “I want to extend my appreciation and reiterate my respect to all of my current and former Osprey colleagues and their families for their commitment not only to our company but to each other and their communities. Their dedication has built Osprey into a brand and family that millions of end-users trust and care about deeply. Osprey was founded 47 years ago with the dream of creating the perfect pack. We first began custom-making packs for mountaineers and adventure travelers headed to points unknown. Demand grew and grew and so did our expertise in design, manufacturing, and on-time delivery. Osprey’s top-quality, high-performance, innovative gear is a reflection of the brand’s love of adventure and devotion to the outdoors. Today’s announcement is a natural next step as we look to build Osprey further. I know it will be in good hands with Helen of Troy, with its proven stewardship of outstanding brands and global scale. Its culture and values are highly consistent with Osprey. We expect the combination of Osprey and Helen of Troy to create significant opportunities for our employees, vendors, and retail partners to experience the next phase of growth and meet even more of the needs of travelers everywhere on whatever trail they are on.”

The transaction is expected to close before calendar year-end 2021, subject to customary closing conditions, including regulatory approval.

Ape Defense Announces the Official Launch of Their Retail Webstore

Thursday, November 25th, 2021

November 24th, 2021: Ape Defense, a retailer of carefully curated duty grade products is proud to announce the official launch of their new retail webstore. Ape Defense is a bit different than most other retail websites as all the products featured for sale have been personally vetted by the Ape Defense staff (and partners). The Ape mantra is to make products available for the everyday man that are Caveman level approved. Points of interest for products that can make the “Ape Defense list” are Longevity, Production Quality, Fit & Finish, and Price vs. Return on Investment. This is exactly why Ape Defense has partnered with only trusted brands that can meet all these points every time. Companies like Forward Controls Design, SOLGW, Cloud Defensive, & Rosco Manufacturing are part of the Ape Defense answer to ethical retail practices for folks whom will be depending on the performance of each part purchased.

“I became engrossed with the idea of being a steward for consumers some years ago. I saw a great deal of online retailer’s stock items that were chosen based off the margins that they have to gain instead of the performance that it would provide to the consumer. My goal is to find great products for an honest price and offer them to my customers with them knowing that I (and our Ape team) have taken the time to vet all of the items that I stock. I am also working on creating an in-house line of products that will help solve real issues for shooters at a fair price.”

– Chris Polack (Owner/ Head Ape)

Texas Man Pleads Guilty to Selling Chinese-Made Military Helmets and Body Armor to Federal Agencies

Monday, November 22nd, 2021

ALEXANDRIA, Va. – A Celeste, Texas, man pleaded guilty today to a wire fraud scheme involving the selling of Chinese-made military helmets, body armor, and other products to the United States Department of State and other federal agencies while falsely claiming that his company manufactured the goods in Texas.

According to court documents, from approximately June 2017 through approximately December 2020, Tanner Jackson, 32, operated Top Body Armor, LLC USA, and a related entity, Bullet Proof Armor LLC, from his residence in a rural part of Texas. Jackson was the lowest bidder on contracts to supply the Department of State with helmets and body armor, including to personnel guarding the United States Embassy in Baghdad, Iraq, and to foreign law enforcement partners in Latin America. The equipment was removed from service after concerns about its quality came to light.

As part of the scheme, Jackson altered or falsified ballistics laboratory test reports that he provided to the government. On one occasion, after his products failed testing at a legitimate laboratory, Jackson created his own fake ballistics laboratory— “Texas Ballistics LLC” —and simply produced fake reports giving himself passing scores. To conceal the Chinese origin of the products and associated delays in shipping the products to the government, Jackson created and controlled numerous email accounts in the names of supposed shipping company employees. Jackson would author email exchanges between himself and the bogus employees, while copying government contracting officers, to explain away shipping delays from China with cover stories such as truck accidents and COVID outbreaks at the warehouse. Jackson also won similar contracts with the Department of the Air Force and various national guard units.

Jackson is scheduled to be sentenced on February 22, 2022. He faces a maximum penalty of 20 years in prison. Actual sentences for federal crimes are typically less than the maximum penalties. A federal district court judge will determine any sentence after taking into account the U.S. Sentencing Guidelines and other statutory factors.

Jessica D. Aber, U.S. Attorney for the Eastern District of Virginia; Wayne A. Jacobs, Special Agent in Charge of the FBI Washington Field Office Criminal Division; and Diana Shaw, Acting Inspector General for the Department of State, made the announcement after U.S. District Judge Leonie M. Brinkema accepted the plea.

The U.S. Army Criminal Investigation Division provided significant assistance in this case.

Assistant U.S. Attorney Russell L. Carlberg is prosecuting the case.
