Castellum, Inc. Announces Closing of GTMR Acquisition

BETHESDA, Md., March 23, 2023 (GLOBE NEWSWIRE) — Castellum, Inc. (NYSE-American: CTM), a cybersecurity and electronic warfare services company focused on the federal government, announces that it has closed its previously announced acquisition of Global Technologies Management Resources, Inc. (“GTMR”), a $10 million revenue government contractor based in Hollywood, Maryland near Naval Air Station Patuxent River.

The transaction is immediately accretive on a revenue per share, recurring cash operating profit per share (a non-GAAP measure), and net income per share basis to Castellum. Pro forma for the acquisition, Castellum’s revenue run rate now exceeds $50 million. As a significant transaction under SEC Rule 3-05 of Regulation S-X, an audit of GTMR’s 2022 financials is being done and is expected to be completed within 60 days. The transaction was structured to be a “tax-free” reorganization under Section 368 of the Internal Revenue Code with just over 80% of the consideration in the form of Castellum restricted common stock. Aeronautics is Expanding its Operations in the Asia Pacific Region: The Company has Signed a Collaboration agreement with RV Connex for the Production of Orbiter 4 in Thailand

The establishment of the new production line will enable both companies to meet the needs of their customers in the region.

March 22nd, 2023. Aeronautics Group – a world leader in designing, developing and manufacturing comprehensive defense solutions focused on Unmanned Aerial Systems (UAS), for the global defense & HLS markets, has signed a collaboration agreement with one of the leading defense companies in Thailand, RV Connex, for in-country production of the innovative tactical UAV, Orbiter 4.

Local production will serve the interests of customers of both companies in the APAC region. Aeronautics will transfer knowledge for production of the system – including the air vehicle, its sub-systems and its ground support system – which the company offers its customers worldwide. In addition, local flight crews will be trained to perform various flight operations and lead training programs for local clients.

Team One Network Promotes Robert Cole to Director of Training

Fredericksburg, VA, March 13, 2023 – Team One Network announced that Robert Cole has been promoted to Director of Training. Robert has been with Team One Network since 2015 and has served as the Training Coordinator since August 2018. “Robert has been a dedicated and valuable member of the team working as both Instructor and Training Coordinator providing cutting edge training programs,” said John T. Robert has instructed and helped develop multiple Team One Network courses, to include:  Shoot House Instructor, Low Light/ Laser Instructor, Pistol Mounted Optics Instructor, Mechanical Breaching Instructor, Tactical Ballistic Shield Instructor, & Counter Ambush Instructor. Robert is also a certified armorer for Benelli, CZ, Springfield Armory and Smith & Wesson firearms.

Before Robert’s time at Team One Network, he served in the United States Marine Corps for 10 years. He was an infantry Sergeant and deployed to multiple countries including Afghanistan, Japan, Philippines, Thailand, Guam, and Australia. He finished his USMC career serving as the Assistant Operations Chief for the Regimental Operations office aboard The Basic School at MCB Quantico Virginia training new Marine Corps officers. Robert oversaw logistical support for training. His personal awards include the Purple Heart, Navy and Marine Corps Commendation Medal with combat distinguishing device, and the Navy and Marine Corps Achievement Medal 2nd award.

Mehler Vario System Group to Showcase Latest Innovations at SOFINS Trade Show

FULDA, GERMANY (17 March 2023)—Mehler Vario System Group, a cutting-edge team of companies offering integrated solutions for professional users, today announced it will exhibit at the Special Operations Forces Innovation Network Seminar (SOFINS) trade show later this month. 

SOFINS will be held 28-30 March at the Camp de Souge military base near Bordeaux, France.

Blackhawk’s Zach Rodman Takes Second at New Mexico Tactical Games

OVERLAND PARK, Kan. – March 17, 2023 – Blackhawk®, a leader in law enforcement and military equipment for over 20 years, congratulates tactical athlete Zach Rodman for his second-place finish at the Tactical Games 2023 New Mexico Regional event. Rodman, competing in the Men’s Elite Division, secured the podium finish despite inclement weather that hindered competitors at the NRA Whittington Center in Raton, New Mexico.
