Cadre Holdings to Acquire TYR Tactical

Expected to be Immediately Accretive and Advances Strategic Focus on Mission-Critical Products with High Margins, Strong Cash Flows

Provides Significant Entry into New Markets, Particularly in European Military and Defense

JACKSONVILLE, Fla. — Cadre Holdings, Inc. (NYSE: CDRE) (“Cadre” or “the Company”), a global leader in the manufacturing and distribution of safety equipment and other related products for the law enforcement, first responder, military and nuclear markets, announced today it has entered into a definitive agreement to acquire TYR Tactical, LLC, a leading global manufacturer of tactical gear and equipment for military, law enforcement, and government agencies worldwide. The addition of TYR Tactical, which produced approximately $92.6 million of revenue in the year ended December 31, 2024, is expected to be immediately accretive to earnings and adjusted EBITDA margins.

The total consideration is $175.0 million, including $150.0 million of cash at closing and $25.0 million of Cadre common stock1, of which $1.0 million will be in the form of restricted stock unit awards to be granted to certain employees of TYR Tactical. In addition, the seller will be eligible to receive up to $25.0 million in additional contingent earn-out consideration, payable in cash, unregistered shares of common stock, or a combination thereof, at the Company’s discretion, based on the achievement of specified net revenue targets for the calendar years 2026, 2027, and 2028. As part of the transaction, the Company will acquire certain real property owned by an affiliate of TYR Tactical.

A family-owned business founded by Jason and Jane Beck in 2010, TYR Tactical is a leading manufacturer of mission-critical personal protective equipment and tactical gear for military and law enforcement globally. Designed to meet the exacting needs of tactical operators in high-risk environments, its suite of products includes plate carriers, vests, hard armor, shields, and accessories. Headquartered in Peoria, Arizona, TYR Tactical serves a worldwide customer base, including top-tier special operations units and government agencies in the U.S. and international militaries.

SDS Arms Expands Tisas PX-9 Comp Family

Gentex Corporation Selected by Czech Ministry of Defence for Integrated Headborne Systems, Reflecting Global Trust in Proven Ops-Core Integrated Ballistic Helmet Solutions

CARBONDALE, PA, October 27, 2025 – Gentex Corporation has been selected by the Czech Ministry of Defence to deliver next-generation Ops-Core integrated ballistic helmet systems and AMP® Communication Headsets to soldiers across the Czech Armed Forces. This order was placed through the NATO Support and Procurement Agency (NSPA) under the NATO Logistics Stock Exchange (NLSE) contract, which is available to all NATO member nations strengthening interoperability across allied forces. The contract valued at over 1 billion CZK is scheduled for completion by October 2026. The contract includes Ops-Core’s lightweight ballistic helmets, engineered for modern tactical operations, paired with a full suite of advanced, interoperable accessories including AMP Communication Headsets with Push-to-Talk capability, ballistic visors, full-face shields, mandible protection, and SOTR respirators with integrated microphones for contaminated environments. Together, they create a fully modular headborne protection system that enhances soldier safety, communication, and mobility in demanding combat conditions and are trusted by elite forces worldwide. This acquisition marks a significant step in the Czech Armed Forces’ modernization efforts, replacing legacy helmets with Ops-Core’s state-of-the-art protective solutions that deliver the next level of mission readiness and battlefield performance.

The purchased helmets and accessories are designated for brigade task forces within the 4th Rapid Deployment Brigade and the 7th Mechanized Brigade, as well as for personnel across the ground forces, support elements (including cyber and information forces, air forces, and medical units), special operations forces, the Military Police, and the Cyber and Information Operations Command. Their considerable variability ensures that each set can be adapted to the specific needs of the individual user, enhancing operational effectiveness across diverse mission profiles.

The first-generation product, created alongside robotics partner Dephy, isn’t designed for competitive, faster runners trying to shave seconds off their time; rather, it’s intended to serve athletes who want to go faster and farther with less effort by giving them more power for everyday movement — in effect, a second set of calf muscles.

That approach is backed by insights developed from NSRL testing involving athletes of all abilities and intensities, who have shared that the system feels like it’s part of their body and that it makes walking or running uphill feel like moving on flat ground. For some, wearing Project Amplify helps them go from a 12-minute mile to a 10-minute mile.

These learnings are the product of extensive testing over several years, both in outdoor environments and the NSRL. More than 400 athletes have covered over 2.4 million steps, the equivalent of roughly 12,000 laps around the NSRL’s 200-meter track, in more than nine different versions of the hardware —?each iteration focused on refining a different element of the system. 

“Is this new for Nike? Yes and no,” says Donaghu. “It’s obviously a new innovation, but the day Bill Bowerman poured rubber into the family waffle iron was the start of a journey to augment movement and create the future of sport. We’ve always believed movement is medicine, and Project Amplify is the next chapter in that story. It’s a bold leap forward, crossing a new threshold of putting power directly into your stride.”
