Chemring Group PLC: Acquisition of Landguard Systems

Chemring is pleased to announce the conditional acquisition of Landguard Nexus Limited (“Landguard”) and its wholly owned subsidiaries Landguard Systems Inc and Landguard Systems Limited (collectively the “Landguard Group”) (the “Acquisition”). The Acquisition creates further opportunities for Chemring to enhance the growth of its Roke business.

Acquisition overview

Landguard, based in Fareham, Hampshire, designs, manufactures, and supports, software defined radio (“SDR”) systems and associated security products that enable defence, government, and law enforcement customers to protect crucial operational assets. These specialist systems include high performance tracking products operating across satellite communications, cellular networks and other radio frequency technologies, as well as SDR transceivers which provide flexible and reprogrammable radio capabilities incorporating the latest interoperability standards.

Landguard’s operational agility, and unique technologies, enables it to satisfy customer requirements across the complete product lifecycle of design, manufacturing, and after-sales operational support. The acquisition brings thirty specialist engineers to Roke in addition to a suite of market leading products, unique intellectual property and a range of complementary customer relationships. The current owner-managers of Landguard are expected to remain with Chemring following completion of the Acquisition.

The consideration of up to £20m will be satisfied by a £14m cash payment on completion, funded from Chemring’s existing bank facilities, and cash earnouts totalling up to £6m subject to certain performance targets. In the year ended 31 January 2025, Landguard’s turnover was c.£7m. The acquisition is expected to be marginally earnings enhancing in the year ending 31 October 2026.

Completion of the transaction is subject to approval under the UK National Investment and Security Act.

Opportunity and rationale

The Acquisition creates further opportunities for Chemring to enhance and accelerate growth of its Roke business whilst driving strong operational synergies. The combination of Roke’s Cyber and Electromagnetic Activities (“CEMA”) pedigree and Landguard’s modular, high-performance technologies creates a unique UK Sovereign portfolio of Defence, National Security and Law Enforcement products and capabilities that can be immediately shared with Roke’s existing Defence and National Security customers and also used to enhance its significant (>£300 million) international sales pipeline.

MARCORSYSCOM Leaders Chart Future of Marine Readiness at Future Soldier Technology USA conference

ARLINGTON, Va. — As the character of warfare shifts and threats evolve, so does the demand for new approaches to equipping the dismounted warfighter.

At this year’s Future Soldier Technology USA conference, hosted by SAE Media Group, defense leaders from across the globe gathered to discuss what it takes to make the dismounted Soldier and Marine faster, more lethal, more resilient, and better protected—all while preparing for a future fight that may look very different from the last.

For Marine Corps Systems Command (MARCORSYSCOM), their panels emphasized readiness through relevance. At the event, several leaders from the organization highlighted efforts to modernize gear, training, and acquisition with urgency and precision.

“We’re focused on staying relevant within the battlespace,” said John Mithun, program manager for Tactical Communications and Electromagnetic Warfare. “It’s about getting tomorrow’s technology into the hands of Marines today.”

Lt. Col. Patrick Heiny, product manager for Infantry Weapons, addressed future proofing through open systems.

“We went by the old adage that ‘we own the night,’ when in reality we probably rented it,” he said. “Especially in today’s tech environment, having that future proofing and being able to adapt to threats is absolutely crucial. Modern systems demand interconnected systems.”

Christopher Woodburn, deputy for Maneuver Branch, underscored modularity as a cornerstone of adaptability.

“In terms of going from renting the night to owning the night… having a helmet that provides improved modularity is key,” he said.

During a multinational panel, discussion focused on reducing burdens for the dismounted warfighter while maintaining operational advantage.

Col. Marcus Reynolds, program manager for Training Systems, offered a clear challenge. “You can’t take it all. Ships only fit so much; Marines can only carry so much… How do you reduce the weight of a system and keep Marines lethal?”

He added, “My number one job in the Marine Corps is to make Marines more lethal.”

Lt. Col. Ian Wilson, British Army, addressed the risks of overloading the individual warfighter.

“Before you know it, you’re carrying your body weight on your back, and you take enemy contact and you’re really slow,” he said. His proposed approach: “Just enough, just in time.”

The culminating event for the conference involved a Gruntworks facility walk through at Marine Corps Base Quantico, Va., which included a behind-the-scenes look for registered attendees at how the Marine Corps and U.S. Army evaluates and enhances their equipment.

The tour, co-hosted by the Corps’ Marine Expeditionary Rifle Squad and Human Systems Integration team, and the U.S. Army’s Soldier Integration Facility team with Program Executive Office Soldier, provided valuable insight into future capability needs.

“You got to get the right crew for the right task,” said Mark Richter, team lead for Gruntworks. “You got to think outside the box. How do we get the data that makes the difference? You must have the data before you put it into a model. If not, it’s just an assumption.”

Richter also discussed how MARCORSYSCOM’s presence underscored a central theme: innovation must be practical, scalable, and rooted in the needs of the individual warfighter.

With open systems, accelerated acquisition, and data-backed design, the Marine Corps continues to build a force ready for whatever fight comes next.

Dropkick Murphys Hit The Road With Bad Religion July 22 For Summer Of Discontent U.S. Tour

Dropkick Murphys are returning to their roots to celebrate the July 4 release of their 13th studio album, For The People.

The band invites fans from around New England and elsewhere to join them at the free For The People Album Release Show on Saturday, July 12 in Quincy, Massachusetts, where the band formed in 1996. This free hometown event is in connection with the Quincy400, celebrating the 400th year of the city’s settlement.

The stage for this special Dropkick Murphys performance will be located at Hancock Street at The Common in Quincy Center. The event starts at 4:00 PM, with an opening set from DJ Stenny.

Dropkick Murphys founder and singer Ken Casey said, “A free Dropkick Murphys show for the people–coincidentally the title of our album, which comes out July 4–on Hancock Street at the Town Common in Quincy, one mile straight down the street from our first practice space at 654 Hancock Street, during Quincy’s 400th birthday is really an honor.”

Dropkick Murphys’ new album For The People will be released digitally on July 4 via the band’s Dummy Luck Music / Play It Again Sam, with the LP and CD release featuring 5 bonus tracks out on October 10.

For The People shows courage and confidence, speaking up against the injustices happening in the United States, and doing so with the strength and power that harkens back to Dropkick Murphys’ earliest punk rock roots. For The People is more than a title. It’s a heartfelt stance, a declaration of who this band is – and who they’ve always been. The poignant album cover–created by renowned social/political artist Shepard Fairey’s design firm Studio Number One—depicts a black rose, symbolizing change, renewal, new beginnings, courage, confidence, strength and power.

“Who’ll Stand With Us?,” the album’s first single, is a call for unity, a return to sanity, and a look at what – and who – is really dividing us. And, like all Dropkick Murphyssongs, it empowers listeners to take action. The powerful video for “Who’ll Stand With Us?” depicts the disturbing reality of people disappearing in the United States.
